FriendshipUK Terms and Conditions

1. Introduction

This Agreement is a legal document, which sets out your rights and obligations, and those of FriendshipUK Limited, a company registered in England under registration no. 5059166 ("FriendshipUK ", "we" or "us"), in relation to this site and the services offered by FriendshipUK through it (the " FriendshipUK Service"). You must take the time to read and understand it, before registering for the FriendshipUK Service. By registering, you accept that you are entering into a contract with us on the terms of this Agreement. You should be aware that we reserve the right to change this Agreement from time to time in accordance with Clause 23.

Under this agreement FriendshipUK will:

  • Arrange first meetings for new members to attend and meet fellow new members.
  • Organise a range of events for members to attend and meet other members.
  • For the purpose of organising events, FriendshipUK will gather and store personal data about its members and will be used in accordance to our privacy policy in clause 10.
2. Membership

People who register for the FriendshipUK Service become "Members". They must be at least 21 years of age and female. This service is for women only. We accept no liability for the actions of persons under 21 or male who may use this site.

Members may:
  • Sign Up to attend first meetings (New Members only) and events organised by FriendshipUK or nominated 3rd party suppliers.
  • Pay for events for which a member has signed up to attend as per clause 8.
  • Attend events for which a member has signed up to attend or paid for.
  • Cancel Membership or attendance to events, as specified in clause 3 and clause 9.
  • Upload photographs.
  • Supply personal information during the registration process.
  • Provide feedback and suggestions.
3. Membership Subscription Fee & Cancellation Policy

When you decide to become a Member, and therefore pay our Membership fee, you are agreeing to take the Membership we make available to you promptly after that fee is paid. This means that you do not have the right to cancel your Membership during the cooling-off period, which is provided for certain purchases under the Consumer Protection (Distance Selling) Regulations 2000. Members have the option of paying their membership fee over the following periods:
  • Monthly subscription fee of £15.99.
  • Annual subscription fee of £150.00.
The membership fee paid applies to the entire period for which you have chosen, if you choose to cancel your membership it will be effective from the next membership period. For example, if you pay for a monthly subscription fee in the month of June and cancel after just one month, the cancellation will be effective from July. No rebate of any part of the Membership fee will be payable under any circumstances.If payment was made using Paypal, It is your responsibility as a member to cancel your payment subscription via your Paypal account with Paypal at their website.

If payment was made via NetBanx and cancellation was made through the website an automatic email will be sent to you and customer services and your subscription will be cancelled as soon as possible.

Membership fees will automatically be debited from your Debit or Credit card or Payment method specified in your Paypal account, using our Paypal or NetBanx facility after the membership period expires, unless otherwise advised by the member. FriendshipUK reserves the right to change the amount of the Membership Subscription fee, the period which it covers, the services which it enables you to obtain and other factors from time to time. However, this will not affect your current Membership period.

We may add new or ancillary services from time to time, which require the payment of fees either to a nominated third party or us on terms, which will be provided to you at the time.

4. Registration

You undertake to register for the FriendshipUK Service using accurate and current information about yourself – including your correct name, address and any other requested details.
  • You must ensure that you are fully entitled to use the debit, credit or charge card used during registration.
  • The payment card will have available funds sufficient to cover the charges, which are deducted, from it for the chosen membership period.
  • You will not post your personal details such as your telephone number, address and/or e-mail address or URL in your profile or message postings or any other information, which would allow other members and/or users to contact you directly.
As part of the registration process, you will receive a verification email, the purpose of which is to take reasonable steps to ensure that the email address you have nominated during registration is controlled by you. That email contains simple instructions, which you must follow.

5. First Meetings & Events

Through our services we organise first meetings and events, where FriendshipUK publishes venue and request for members to sign up to attend. 1st meetings are normally held in public venues or private enterprises such as pubs, wine bars and restaurants.

Members agree to attend first meetings and event location once they sign up to attend. Members are allowed to cancel their attendance, but refunds will only be provided in line with our refund policy in clause 9 of this agreement.

FriendshipUK will only attend all first meetings and some or none of other events orgnised by FriendshipUK or nominated 3rd party supplier. For the events FriendshipUK will not be attending, we will endevour to advise a meeting point at or near the published event venue.

FriendshipUK is not responsible for the behaviour and actions of any individuals (Members and other people) present at the venue of a first meeting or event. As a result, we have no control over the identity or actions of the individuals who are present at these functions, and we request that our members exercise caution and good judgment when attending first meetings and events. It is important to note that FriendshipUK does not pre-screen members that join FriendshipUK.

You are solely responsible for your interactions with other members at first meetings and events and we do not monitor disputes between you and other members. FriendshipUK can make no guarantees that any member will successfully form new friendships, as a result of being a member and/or attending event(s). Nor do we accept any responsibility for any occurrence as a consequence of any meeting with or relationship formed with any such person as a result of attending an event arranged by FriendshipUK or nominated 3rd party.

Members attending an event arranged by friendshipUK agree to abide by any laws, rules and regulations in operation at the venue, and not to cause injury, distress or offence to other members of the public or staff. Failure to do so may result in ejection from the event and/or withdrawal of membership, at the sole discretion of FriendshipUK.

Members will be responsible for their transportation to and from first meeting and other events unless advised otherwise.

FriendshipUK will organise some events that do not require prior bookings with the event supplier and members will make payment directly to the event supplier at the venue. I.e. an event organised to watch a film in a cinema, where members meet up and pay at the venue before watching the film. For these type of events FriendshipUK cannot guarantee sit availability and access to the event.

6. Services with Third Party Suppliers

To provide diverse experiences, FriendshipUK has to engage the services of agents and or third party suppliers, such as experience companies, tour operator, hotel or a restaurant. This will mean that there might be additional terms & conditions governing the service/event, therefore the contract for the service may be between you and the supplier.

7. Event Cancellation, Rescheduling and Change in Venue

FriendshipUK reserves the right to change a venue, cancel/reschedule a first meeting or event. First meetings will only take place if the number of members signed up to attend is four or more. However, at the discretion of FriendshipUK this number may increase or decrease. Events will only proceed if a reasonable number of members sign up to attend an event, the resonable number will be determined by FriendshipUK.

In the event of FriendshipUK canceling an event without rescheduling, payment for the cancelled event will be refunded to all members who paid to attend the event.This does not incude the membership fee. Cancellations of events will be advised via emails to the members that have signed up to attend and via our website.

Cancellation of events will be communicated to members as soon as possible, but in the event of circumstances beyond our control this advise may be made as late as 24 hours before the event or the date of the event itself.

8. Payment for events

Members signing up to attend an event will make payment in full. Payments for an event may be made:
  • directly to FriendshipUK using PayPal via the FriendshipUK website
  • directly to nominated third parties that will be responsible for the event. E.g. airline.
  • at the venue of the event.

All payment terms will be provided at the time of the published events.


9. Refund policy

In the event of a member cancelling an attendance to an event organised solely by FriendshipUK with no 3rd party involvement and where payment is made directly to FriendshipUK refunds will be made as follows:
  • 30 days notice full refund.
  • Less than 30 days - 2 weeks notice 50% refund.
  • Less than 2 weeks, No refund.
The refund policy for events organised by 3rd party organisations on behalf of FriendshipUK or events involving 3rd party suppliers will be applicable and therefore supersede the refund policy in this agreement.

The refund terms applicable to an event will be provided at the time of the published events.

This refund policy is not applicable to the membership fee. Membership fee are non refundable.

This refund policy is also applicable, regardless of when FriendshipUK publishes an event.

10. Privacy policy

FriendshipUK's Privacy policy forms part of this Agreement, and by agreeing to this Agreement, you also give your consent to the way we may handle your personal data in that policy.

As part of our service, we may pass your personal details to nominated 3rd party suppliers for the purpose of booking events you have signed up to attend.

Your First name, username, photograph, DOB/Age, profile, interest and hobbies, supplied during registration may be published on our website for other members to view when viewing details of members that have signed up to attend a specific event. This will only be visible to members of FriendshipUK.

Details provided during the registration process, may be used to inform you (Active & Inactive Members) about First meetings and Upcoming events.

11. Additional services

FriendshipUK or its affiliates may offer new or additional services through the FriendshipUK Website from time to time. Your use of those services may be subject to additional terms and conditions, or rules of use, which you must comply with. Provided that those terms or rules are notified to you on the FriendshipUK Service in an appropriate manner (as determined by FriendshipUK in its reasonable discretion), any failure by you to comply with a material provision of the terms or rules governing those services will amount to a breach of this Agreement.

12. Operation of FriendshipUK Services

FriendshipUK reserves the right to withdraw or modify one or more aspects of the FriendshipUK service, or the entirety of it, where we have legal or commercial reasons to do so. There may also be times when the FriendshipUK Service becomes inaccessible as a result of technical difficulties experienced by FriendshipUK or on the Internet; we will, however, use reasonable skill and care to overcome these difficulties where they are within our control. Please note that there will be no refund of Membership fees for withdrawal, modification or unavailability of the FriendshipUK Service. For security or other reasons, we may require you to change password or other information, which facilitates access to the FriendshipUK Service.

13. Misuse of FriendshipUK Service

We reserve the right (a) to suspend or terminate any Member’s access to the FriendshipUK Service, or parts of it, and/or (b) to edit, or require the Member to edit, material posted on the FriendshipUK website, if the relevant Member or material appears to us to be in breach of any provision of this Agreement. Any person whose access has been suspended or terminated must not re-register for, or re-access, the FriendshipUK Service without our prior consent. You are responsible for everything, which is done on or through the FriendshipUK Service while your Membership account is logged on to the FriendshipUK Website, or through your email address.

The FriendshipUK Service is intended to be used by its Members for the purposes referred to in Clause 2 above.

14. Prohibitions

You are responsible for ensuring that no material you post, or which is posted through a machine on which you access the FriendshipUK website, nor any activity or communication you make in connection with any FriendshipUK Service, will be capable of (a) infringing the intellectual property or other rights of any person or entity, (b) breaching any applicable law, whether criminal, tortuous or otherwise, or (c) appearing to be offensive, threatening, obscene, pornographic, false, unreliable or misleading.

15. Alerting FriendshipUK

If you see anything on the FriendshipUK Service, which appears to infringe this Agreement, then please contact us by emailing us directly. We do not monitor material contributed by members before it is placed on the FriendshipUK website, and so we are reliant upon members to point out any which infringes this Agreement.

16. Withdrawal of material and Termination of Membership

Each Member acknowledges that we are entitled to withdraw any material of the FriendshipUK Service, which appears whether based on information received from Members or others, or our own determination to be capable of breaching any part of this Agreement, or to bring the FriendshipUK Service into disrepute.

17. Disclaimer and Release

FriendshipUK has no control over or responsibility for the truth or accuracy of any material provided by members on the FriendshipUK Website.

If any third party sites are linked to and from the FriendshipUK Website, this does not mean that we endorse or have any responsibility for the site in question or anything, which appears on it.

Even though Members are prohibited from doing so, people may provide information, or otherwise behave, in a way that is unreliable, misleading or even illegal. Further, you should note that people may not necessarily be who they say they are.

FriendshipUK will not be liable for accidents in transit to events, during events and or after events.

Your use of the FriendshipUK Service is entirely at your own risk. If you decide to meet up with members outside events organised by FriendshipUK, you are doing so at your own risk, and should, at your own cost and expense exercise necessary caution.

Accordingly, to the extent that the law permits, you release FriendshipUK, its directors, contractors and employees from all liability arising out of or in connection with the FriendshipUK Service and the material included here by Members and other third parties.

18. Safety & Insurance

Some of the events organised by FriendshipUK may involve some personal risk. In signing up to attend an event you accept the existence of an element of risk. Life insurance policies vary in their coverage, and some may exclude certain activities covered by the events organised. It is advisable to check this with your insurance company in advance.

The operators for the various activities advertised normally arrange their own liability insurance, which will provide insurance for participants in the case of negligence on behalf of that operator.

It is recommended you purchase coverage under Personal Accident Insurance. The intention of the Personal Accident insurance is to provide a fixed amount of coverage which is immediately payable in the unlikely event of an accident whilst undertaking an activity organised by FriendshipUK, which may involve death, accidents or the disablement or the loss of sight or a limb. FriendshipUK are neither operators of aircraft nor providers of carriage by air. Neither are Friendshpuk operators of any other vehicle or equipment used in the provision of the activities organised. We are unable to give any guarantee as to the safety standards or performance of any operator. The operator may require a disclaimer to be signed before the activity.

19. Intellectual Property

You acknowledge that all copyright, trademarks, and other intellectual property rights in and relating to the FriendshipUK service (including the material, which is contributed by Members) are owned by FriendshipUK. It is easy to copy material, which appears on web-sites, but this does not mean it is legal. Therefore, no one may copy, distribute, show in public or create any derivative work from the FriendshipUK Service, or any of the material, which is found on the FriendshipUK Service unless properly licensed to do so by us.

By submitting any material to the content to the FriendshipUK Service, you:
  • are representing that you are fully entitled to do so;
  • grant us a non-exclusive, royalty-free, non-terminable licence right to copy, modify, distribute, show in public and create derivative works from that material in any form, anywhere; and
  • authorise us to adapt the relevant material in the course of doing so, and so waive your moral rights to object to any derogatory treatment, or to be identified as the author, of the material in question.
20. Excluded loss

We will not be liable to you or any third party for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business, howsoever caused (whether arising out of any negligence or breach of this Agreement or otherwise). FriendshipUK will also not be liable for any failure to perform of its obligations under this Agreement caused by matters beyond its reasonable control.

21. Indemnity

You agree to indemnify us against all liabilities, claims and expenses that may arise from any breach of this Agreement by you or through a machine on which you access the FriendshipUK Service.

22. Entire Agreement

This Agreement includes our privacy policy and refund policy. Together they contain the whole of the agreement between us and you concerning the FriendshipUK Service and they replace all earlier agreements and understandings with you, except for any fraud or fraudulent representation by either of us. A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of this Agreement.

23. Changes to this Agreement

FriendshipUK reserves the right to change this Agreement from time to time, and post the new version on the FriendshipUK Website. When we do so, we will notify you of the fact that there are changed terms on the website (What's New Page) or via email and the new version of these terms and conditions will take effect, and will govern all FriendshipUK Services and your relationship with FriendshipUK

24. Severability

In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable.

25. Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
